Endless Counterattack (E32)

Mefilas, an alien being, doesn't want to invade Earth, but rather possess it for himself. Horrors from Ultraman's past are revived to intimidate humans into accepting this deal. Mefilas offers a boy anything in the universe in exchange for Earth, but the boy refuses, Alien Mefilas threatens to destroy humans. After a fight with Ultraman ends in a tie, Mefilas leaves but promises to return. (Prime Video)
